Terms of Service

Introduction

These Terms of Service ("Terms") constitute a binding agreement between you ("you" or "User") and StackUp ("Company," "we," "us," or "our"). By accessing or using the Site (stackupgear.com) or any services provided by StackUp (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to all of these Terms, do not use the Service.

StackUp operates a content and affiliate‑tracking platform for firearm, outdoor and gear products. Creators can curate collections ("stacks") of products, publish recommendations, and earn commissions through affiliate links. We do not sell or ship products ourselves; purchases are made on third‑party websites, and all transactions are subject to the merchant's terms and legal requirements. StackUp provides information for educational and entertainment purposes only. We are based in the United States and operate subject to U.S. law.

1. Eligibility & Age Requirement

You must be at least 18 years old to use the Service. By accessing or using the Site, you represent and warrant that you are (a) at least 18 years of age, and (b) capable of entering into a legally binding agreement. If you are under 18, do not use the Service. We do not knowingly collect personal information from anyone under 18, and our Site includes an age‑verification gate on first visit.

2. Account Registration and Security

To access certain features of the Service, you may need to create an account. When you register, you agree to:

Provide accurate, current and complete information. You may not create an account using someone else's identity or a false email.

Maintain the security of your account credentials. You are responsible for all activities that occur under your account. Promptly notify us at support@stackupgear.com of any unauthorized use or suspected breach of security.

Keep your contact information up to date so we can send notices and account communications.

3. Permitted Use and Community Guidelines

We grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Service solely for personal, non‑commercial purposes (except that Creators may monetize through affiliate links as permitted below). By using the Service, you agree to:

Use the Service only for lawful purposes and in accordance with these Terms and all applicable federal, state and local laws and regulations. You must not use the Service in a way that infringes or violates the rights of others or restricts or inhibits anyone else's use or enjoyment of the Service.

Not post, upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, libellous, discriminatory, vulgar, obscene or otherwise objectionable. We reserve the right to remove or moderate content that we consider offensive or in violation of these Terms.

Not post content that promotes illegal activity, encourages violence or instructs others on the making or use of firearms contrary to law. All firearm‑related content must emphasize safety and compliance with federal and state laws. The Service is for educational and entertainment purposes; it does not provide formal firearms training or legal advice.

Not upload viruses, malware, spam or other malicious code, or otherwise attempt to interfere with the proper functioning of the Site.

Not attempt to circumvent security measures, gain unauthorized access to the Site or data, or use bots, scrapers or other automated tools to extract data.

We reserve the right to moderate, edit or remove any content that violates these guidelines or the law. We also reserve the right to suspend or terminate your account for violations.

4. Affiliate Links and Compensation Disclosure

Our Site contains affiliate links to products sold by third‑party merchants. When you click an affiliate link and make a purchase, the Creator and/or StackUp may earn a commission at no additional cost to you. Under the Federal Trade Commission's endorsement guides, Creators must disclose their material connection to the merchant and clearly inform users that the links are affiliate links. For example, a disclosure such as "I get commissions for purchases made through links in this post" placed near the recommendation and link is considered clear and conspicuous. Simply labelling a link as "affiliate link" is not sufficient; "paid link" adjacent to the link is acceptable.

Creators are solely responsible for complying with FTC regulations and the terms of any affiliate programs they participate in. StackUp provides disclosure templates and reminders within the dashboard, but it is your responsibility to ensure that each page or stack containing affiliate links has the required disclosure. Failure to include proper disclosures may result in removal of content or termination of your account.

5. Sponsored Content and Paid Reviews

If you post sponsored content or reviews of products provided free of charge, you must clearly disclose the relationship. For example, a statement such as "This review is sponsored by [Brand]" must accompany the content. You must not make false or misleading claims about products. Sponsorships and paid reviews should be distinguishable from independent editorial content.

6. Content Ownership and License

Your Content

You retain ownership of content that you create and post on the Service, including product descriptions, images, stack titles and comments ("User Content"). However, by posting User Content, you grant StackUp a worldwide, non‑exclusive, royalty‑free, transferable, sublicensable license to host, reproduce, distribute, publicly display, publicly perform, modify, create derivative works of and otherwise use your User Content for the purpose of operating, marketing and improving the Service. This license continues even if you terminate your account, although we may, at our discretion, remove or anonymize your content.

Platform Content

All content on the Service other than User Content, including the Site design, logos, trademarks, text, graphics, compilations and software, is owned by StackUp or its licensors and is protected by intellectual property laws. You may view and use this content for personal, non‑commercial purposes. You may not reproduce, distribute, modify, transmit, display, perform or create derivative works from our content without our prior written consent.

7. Brand Analytics and Business Model

StackUp is free for Creators and Users. Creators earn 100 % of affiliate commissions; StackUp does not take a cut. We generate revenue by selling aggregated, anonymized analytics to brand partners. These reports may include metrics such as total views, clicks and conversion rates for particular categories or campaigns, but they do not include personal identifiers. We do not sell or rent your personal information. California law requires businesses that sell or share personal information to provide a conspicuous "Do Not Sell or Share My Personal Information" link; our footer includes this link to allow California residents and other users to opt out of any future sale or sharing of personal information.

8. Third‑Party Links and Transactions

The Service contains links to third‑party websites, including merchants who sell the products featured by Creators. We have no control over, and are not responsible for, the content, policies or practices of third‑party sites. When you click a link to a third‑party site, you are subject to that site's terms and privacy policies. We do not warrant or endorse third‑party products or services, and we are not responsible for any transaction you enter into with a third party. All product purchases are subject to the seller's terms, including age and background‑check requirements for firearms. You are responsible for understanding and complying with all applicable laws when purchasing firearms or gear.

9. No Professional or Legal Advice

All content and information provided by StackUp is for informational and entertainment purposes only. We do not provide legal, financial, safety or professional advice. You should seek professional advice from qualified experts for your specific situation. Nothing on the Site should be interpreted as counseling on firearms safety or legal compliance; always follow federal, state and local laws and consult a certified instructor for firearms training.

10. Disclaimer of Warranties

The Service and all content are provided "as is" and "as available" without warranty of any kind, either express or implied. To the maximum extent permitted by law, we expressly disclaim all warranties of merchantability, fitness for a particular purpose, non‑infringement and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure or error‑free; that defects will be corrected; or that any content is accurate, complete or reliable. Your use of the Service is at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, StackUp and its officers, directors, employees, agents and affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost data, loss of goodwill or other intangible losses, arising out of or related to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from or relating to the Service or these Terms is limited to the greater of (a) the amount you paid, if any, to use the Service during the 12 months before the claim arose or (b) $100. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these exclusions or limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

12. Indemnification

You agree to defend, indemnify and hold harmless StackUp and its affiliates, officers, directors, employees and agents from and against any claims, damages, losses, liabilities, judgments, costs and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of another, including intellectual property or privacy rights; or (e) your violation of any applicable laws or regulations. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations).

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service, with or without notice, if we believe you have violated these Terms, engaged in illegal activity or acted in a way that could harm us or others. Upon termination for any reason: (a) your right to access the Service will immediately cease; (b) we may delete or disable your account and associated data (subject to our retention policy); and (c) Sections 6–15 of these Terms will survive.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any dispute or claim arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction and venue in those courts. You agree that any claim must be brought by you individually on your own behalf, and not as a plaintiff or class member in any purported class or representative proceeding. Nothing herein will prevent us from seeking injunctive relief to protect our intellectual property or confidential information.

15. Changes to These Terms

We may modify these Terms from time to time. When we do, we will update the "Effective Date" at the top and post the revised Terms on the Site. If we make material changes, we may also provide notice (such as by email or an in‑service message). Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

16. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices or policies posted on the Site, constitute the entire agreement between you and StackUp regarding the Service and supersede any prior agreements.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will remain in full effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or any rights herein without our prior written consent. We may assign these Terms without restriction. These Terms bind and inure to the benefit of the parties and their successors and permitted assigns.
